1. Agreement to Terms

These Terms of Service ("Agreement") constitute the entire agreement between LeadClarify, Inc. ("Company," "we," "us," "our") and you ("Customer," "you," "your") regarding your use of our website, services, and platform.

By accessing and using LeadClarify, you agree to be bound by these terms. If you do not agree to all terms and conditions, do not use our services.

2. Services Description

LeadClarify provides AI-powered lead capture, qualification, appointment booking, and customer communication infrastructure services for service businesses. Our services include:

  • 24/7 inbound and outbound AI voice agent
  • Lead qualification and routing
  • Appointment booking automation
  • Multi-channel follow-up systems (SMS, email, voice, chat)
  • Call recording, transcription, and analytics
  • CRM and system integration
  • Real-time analytics dashboard
  • Dedicated implementation and support

3. Pricing and Payment

3.1 Pricing

Our pricing is custom based on your revenue, call volume, and feature requirements. We will provide a detailed quote before you commit to any service. Pricing may be adjusted annually with 30 days' notice.

3.2 Payment Terms

  • Payment is due upon invoice unless other terms are agreed to in writing
  • We accept credit cards, wire transfer, and ACH payments
  • Setup fees (if applicable) are non-refundable
  • Monthly service fees are charged on the anniversary of your start date

3.3 9-Day Trial

New customers receive a 9-day risk-free trial period. If you are not satisfied with our services, you may request a full refund within 9 days of activation. This guarantee applies once per customer.

4. Subscriptions and Renewals

4.1 Month-to-Month Service

Our standard service is month-to-month. Your subscription automatically renews each month unless cancelled. You will be charged on the same date each month.

4.2 Cancellation

You may cancel your subscription at any time with written notice. Cancellation is effective at the end of your current billing cycle. No refunds are provided for partial months. To cancel, contact your account manager or email support@leadclarify.com.

4.3 No Long-Term Contracts

LeadClarify does not require long-term contracts. You are free to cancel at any time with no penalties or early termination fees.

5. Acceptable Use

You agree to use LeadClarify only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment. Prohibited behavior includes:

  • Harassing or causing distress or inconvenience to any person
  • Transmitting obscene or offensive material
  • Disrupting the normal flow of dialogue within our website or services
  • Attempting to reverse-engineer or tamper with our platform
  • Using our services for illegal activities or to violate laws
  • Violating TCPA, GDPR, CCPA, or other applicable regulations
  • Engaging in phishing, fraud, or misrepresentation
  • Using multiple accounts to circumvent limitations

6. Intellectual Property Rights

6.1 Company Property

All content, software, and materials provided by LeadClarify (including AI models, scripts, analytics, and designs) are our exclusive property. You are granted a limited license to use these for your business purposes only.

6.2 Your Data

You retain all ownership rights to your data, including lead information, customer records, and business information. You grant us permission to process and store this data to provide our services.

6.3 Restrictions

You may not modify, reproduce, distribute, or otherwise misuse our platform or intellectual property without written consent.

7. Data and Call Management

7.1 Call Recording

LeadClarify records inbound and outbound calls to improve our AI and provide transcripts and analytics. You are responsible for obtaining appropriate consent from callers in jurisdictions that require two-party consent before calls are recorded.

7.2 TCPA and Regulatory Compliance

You agree to comply with all applicable telecommunications laws, including the Telephone Consumer Protection Act (TCPA), Do Not Call regulations, and state-specific requirements. Violations are your responsibility.

7.3 Data Retention

We retain call data for a minimum of 12 months and may retain it longer for legal compliance. You may request deletion of specific records, subject to legal retention requirements.

8. Service Level Agreement

8.1 Uptime Guarantee

We guarantee 99.99% platform availability, measured monthly. In the event of service downtime exceeding guaranteed levels, we will provide service credits based on your monthly fee.

8.2 Maintenance

We may perform scheduled maintenance with 48 hours' notice. Maintenance typically occurs during non-business hours.

8.3 Support

All customers receive dedicated support during business hours (Monday-Friday, 9am-5pm EST) via email, phone, and chat.

9. Liability Limitations

9.1 Disclaimer of Warranties

LeadClarify is provided "as is" without warranties of any kind, express or implied. We do not guarantee specific results, ROI, or lead generation outcomes.

9.2 Limitation of Liability

In no event shall LeadClarify be liable for indirect, incidental, special, consequential, or punitive damages resulting from your use of our services, even if we have been advised of the possibility of such damages.

9.3 Maximum Liability

Our total liability to you shall not exceed the total amount you have paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless LeadClarify from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of our services in violation of these terms
  • Your violation of applicable laws or regulations
  • Your infringement of third-party rights
  • Disputes arising from leads or customer interactions through our system

11. Modifications to Services

LeadClarify reserves the right to modify, suspend, or discontinue services at any time with 30 days' notice. Major changes to core functionality will provide reasonable notice. We will not increase prices without notification and opportunity to cancel.

12. Termination

12.1 Termination by Customer

You may terminate your account at any time by contacting us. Termination is effective at the end of your current billing cycle.

12.2 Termination by LeadClarify

We may terminate your account if you violate these terms, engage in illegal activity, or fail to pay invoices. We will provide notice of termination unless immediate action is necessary for security.

12.3 Effects of Termination

Upon termination, your access to our platform ends. You are responsible for exporting any data you need. We will retain data as required by law.

13. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of our business relationship. This includes pricing, processes, and business strategies.

14. Dispute Resolution

14.1 Informal Resolution

If you have a dispute with LeadClarify, contact us first and we will attempt to resolve it informally.

14.2 Binding Arbitration

Any legal dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration shall take place in New York.

14.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and you waive any right to pursue class action claims.

15. General Provisions

15.1 Entire Agreement

These Terms of Service, along with our Privacy Policy, constitute the entire agreement between us and supersede any prior negotiations or understandings.

15.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in effect.

15.3 Governing Law

These terms are governed by and construed in accordance with the laws of the State of New York.

15.4 Waiver

Our failure to enforce any right or provision does not waive our right to enforce it later.
